Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and GOLDIE CITY LLC("GoldPocket", "we", "us", or "our"), a limited liability company registered in Wyoming, United States. They govern your use of the GoldPocket wallet applications for iOS and Android, browser extension, messaging-platform clients, websites, and related software (collectively, the "Services").

Our Privacy Policy is incorporated into these Terms. By accessing or using the Services, you agree to these Terms and to that Privacy Policy. If you do not agree, do not use the Services.

The website, store listings, and other materials may describe features that are planned, in testing, or not enabled in your region or app version. Those descriptions are a product direction, not a promise that a feature is available to you. Features that are not shown in your client are not part of the Services for you until they appear and you choose to use them. If we later enable a feature, the matching sections of these Terms apply automatically.

1. What GoldPocket Is (and Is Not)

GoldPocket is non-custodial software. It is an interface that helps you create or import a self-custodied wallet, view public blockchain data, prepare and sign transactions on your device, and — where enabled for you — reach third-party protocols and applications.

• We never hold your assets.Private keys and seed (recovery) phrases are generated and stored on your device. We cannot access, freeze, reverse, or transfer your funds. Any future recovery, backup, or "smart recovery" feature will not give us custody of your seed phrase or the power to move your assets.
• We are a software interface, not an intermediary. We are not a bank, broker, dealer, introducing broker, exchange, clearing house, commodity trading advisor, investment adviser, virtual asset service provider, money transmitter, money services business, or payment processor. We do not execute, clear, or settle trades for you. When you transact, you transact on-chain with the relevant network or third-party protocol.
• Fiat on-ramps and off-ramps are not currently offered.You cannot buy digital assets with fiat currency or cash out to a bank account through GoldPocket today. If we later surface a third-party on-ramp or off-ramp, that provider's terms, KYC, and privacy practices apply to that flow, and we will update these Terms as needed.
• We are not a counterparty. Swaps, perpetual contracts, staking, bridging, and similar actions — if shown — are interactions with third-party protocols. We are not a party to those transactions. Listing a protocol in the interface is not a recommendation.
• We do not provide financial, investment, legal, or tax advice, and we owe you no fiduciary duty. Nothing in the Services, including the AI agent, is an offer, solicitation, or recommendation to buy, sell, or hold any asset.
• Supported networks, assets, and features vary by jurisdiction, device, and version. We may add, remove, or geo-restrict functionality at any time.

2. Eligibility and Sanctions

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally able to enter into these Terms. You represent that:

• You are not located in, established in, or a resident of a jurisdiction where use of the Services is prohibited.
• You are not, and are not owned or controlled by, a person subject to sanctions or named on a prohibited-party list, including those maintained by the United Nations, the U.S. government (including OFAC's SDN list), the United Kingdom, the European Union or its Member States, or other applicable authorities.
• You will not use the Services if you are in a comprehensively sanctioned jurisdiction (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine) or if you intend to supply the Services to such a person or place.

You are solely responsible for complying with the laws that apply to you, including securities, commodities, derivatives, tax, and sanctions laws.

3. Your Wallet and Your Responsibility

• You are solely responsible for safeguarding your seed phrase, private keys, passwords, devices, and any authentication method. If you lose your seed phrase, we cannot recover it, and your assets may be permanently inaccessible.
• If your seed phrase or private keys are exposed — through phishing, malware, or any other means — anyone who obtains them can take your assets, and the loss is permanent and irreversible. Neither GoldPocket nor anyone else can reverse blockchain transactions, recover stolen assets, or compensate such losses.
• Never share your seed phrase with anyone, including any AI agent, chatbot, website, or person claiming to be GoldPocket staff. We will never ask for it.
• You are solely responsible for every transaction signed with your keys, including transactions you initiate after an AI suggestion, voice command, or in-app shortcut. Blockchain transactions are irreversible; we cannot cancel, reverse, or refund them.
• You must review the details of every signature request before you approve it. A preview, simulation, or AI explanation may be incomplete or wrong.

4. Feature Availability and Geographic Restrictions

Some functionality is unavailable in certain places. We may estimate your location from IP address or similar network data and hide or disable features accordingly. If we cannot determine your location, restricted features stay unavailable.

Geographic controls are a compliance measure, not a legal opinion that your use is lawful. You represent that you are not a person who is prohibited from using a given feature (for example, a U.S. person using a protocol that bars U.S. persons), even if a VPN or other tool would make the interface appear to allow it.

You agree not to disguise or falsify your location, including through VPNs, proxies, remote-desktop tools, or false device settings, in order to reach a feature that is hidden or blocked for you.

5. AI Agent

Where enabled, the Services include an AI assistant (typed and, if you opt in, voice). When you use it, you are interacting with an automated system, not a person. It can help you navigate the wallet, draft sends or swaps, summarize activity, and open screens — including, where available in your region, perpetual-contract screens.

• Output may be inaccurate, incomplete, outdated, or biased. It is informational only and is not financial, investment, legal, or tax advice.
• The agent does not custody keys and must not be given your seed phrase. You remain the sole controller of the wallet.
• You are responsible for every action taken after an agent suggestion, including transactions that settle before you can revoke a grant. Configure permissions carefully and do not approve requests you do not understand.
• Voice input is processed to run your command. Do not speak secrets, seed phrases, or private keys.
• Third-party model and speech providers process prompts under their own terms. We are not responsible for their errors, outages, or data practices.

6. Swaps and On-Chain Interactions

Where swap or similar routing is shown, quotes are estimates. Price, fees, slippage, and settlement depend on third-party liquidity, network conditions, and the protocol you interact with. A displayed rate may differ from what executes. Failed or reverted transactions may still consume network fees. We do not guarantee execution, price, or protection from MEV, sandwiching, or failed routing.

7. Perpetual Contracts and Other Restricted Markets

Where available, the Services may display a third-party interface for perpetual contracts or similar leveraged products (together, "Perps"). Perps are provided by unaffiliated protocols, not by GoldPocket. We do not hold margin, run the matching engine, act as your broker or introducing broker, or guarantee the protocol.

• Perps involve leverage, liquidation, funding payments, oracle risk, and the possible loss of your entire deposited margin. They are not suitable for everyone.
• Perps are hidden in restricted regions, including the United States, Ontario, and sanctioned jurisdictions, using IP-based controls described in Section 4. Availability can change without personal notice.
• If Perps are shown, you represent that you are not a restricted person under that protocol's terms and that your use is lawful where you are.
• Other markets (for example tokenized real-world assets) may also be geo-restricted and are likewise Third-Party Services.
• GoldPocket is not registered with the U.S. CFTC or SEC, or with comparable financial regulators, in connection with Perps or any other trading interface.

8. Optional and Future Features

If we make additional features available, these rules apply to your use of them:

Social features

If social features are enabled (profiles, contacts, nearby discovery, messaging, or similar), you will not use them to impersonate others; post illegal, harassing, hateful, or infringing content; promote scams or phishing; or attempt to compromise other users' wallets. You retain ownership of content you post and grant us a non-exclusive, worldwide, royalty-free license to host and display it as needed to operate those features. We may remove content or restrict access that violates these Terms. Location or nearby features, if offered, will be optional and described in the Privacy Policy before they collect new data.

Fiat ramps and identity checks

If we later surface a third-party on-ramp, off-ramp, or identity check, you deal with that provider. We do not custody the fiat or complete KYC on their behalf unless a future update of these Terms says otherwise.

Other experimental markets

Prediction markets and similar products are not currently enabled. If they are enabled later, they will be Third-Party Services, may be geo-restricted, and will not be offered as GoldPocket-issued contracts.

9. Third-Party Services

The Services may surface protocols, dApps, RPC providers, swap routers, WalletConnect relays, in-app browsers, market venues, and infrastructure providers ("Third-Party Services"). They have their own terms. We do not endorse, control, or assume responsibility for their availability, security, fees, or performance. You assume all risk of using them. We cannot freeze, cancel, or modify a transaction once it is broadcast.

10. Fees

• Network fees. Blockchains charge gas or similar fees, paid to the network, not to us.
• Third-party fees. Protocols and venues may charge their own fees, funding rates, or spreads.
• Service fees. If we charge a fee (for example a spread or convenience fee on a route), it will be disclosed in the interface before you confirm.

Fee estimates can be wrong. You are responsible for having enough assets to cover amounts and fees.

11. Prohibited Uses

You agree not to use the Services to:

• Violate any law, including sanctions, export controls, and anti-money-laundering rules
• Engage in fraud, market manipulation, terrorist financing, or other financial crime
• Interfere with, disrupt, or attempt unauthorized access to the Services
• Reverse engineer or misuse the Services except as permitted by law
• Use automated means to abuse, overload, or scrape the Services
• Circumvent geographic or other access controls as described in Section 4
• Transmit or exchange assets that are the proceeds of crime

12. Intellectual Property

The Services, including software, design, text, graphics, and logos, are owned by GOLDIE CITY LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. Portions may be offered under open-source licenses, which control to the extent they conflict with these Terms. Feedback you send may be used by us without restriction or compensation.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE PLACES, DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED.

DIGITAL ASSETS ARE VOLATILE. YOU MAY LOSE THE ENTIRE VALUE OF YOUR ASSETS. LEVERAGED AND DERIVATIVE PRODUCTS CAN MAGNIFY LOSSES. YOU ASSUME ALL RISKS OF BLOCKCHAIN NETWORKS, SMART CONTRACTS, ORACLES, BRIDGES, THIRD-PARTY SERVICES, AND THE AI AGENT.

Anyone can create a token, including fake versions of existing assets. Display of an asset or venue is not approval of it.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDIE CITY LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, INCLUDING LOSSES FROM PERPS, SWAPS, PHISHING, KEY COMPROMISE, AI-AGENT OUTPUT, GEO-RESTRICTION, OR THIRD-PARTY PROTOCOLS. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless GOLDIE CITY LLC from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your transactions, your violation of these Terms, or your violation of any law or the rights of any third party.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement. If you are a consumer in the United Kingdom, the European Union, or the EEA, nothing in these Terms limits mandatory statutory rights you cannot waive. If those laws conflict with these Terms, those laws prevail.

Informal resolution

Before filing a claim, you agree to email support@goldpocket.iowith the subject "Notice of Dispute," your name, a way to contact you, and a description of the dispute. We will try to resolve it in good faith. You may start arbitration or a permitted court action only if the dispute is unresolved 60 days after that notice.

Arbitration; class waiver

Except for the opt-out below and claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The proceeding may be held by video or, if the parties agree, in Wyoming. The language is English. Judgment on the award may be entered in any court with jurisdiction.

You and we waive any right to a jury trial and any right to participate in a class, collective, or representative action, to the extent permitted by law. The arbitrator may award relief only in favor of the individual party seeking relief.

30-day opt-out

You may opt out of arbitration and the class waiver by emailing support@goldpocket.iowith the subject "LEGAL OPT OUT" within 30 days of first accepting these Terms. Include your name, address, and a clear statement that you opt out. If you opt out, disputes that cannot be brought in small-claims court may be brought in the state or federal courts located in Wyoming, and you consent to venue there.

17. Changes and Termination

We may modify these Terms, or suspend or discontinue any part of the Services, at any time. Material changes will be posted with an updated "Last updated" date. Your continued use after changes take effect constitutes acceptance. You may stop using the Services at any time. Because GoldPocket is non-custodial, stopping use does not affect your on-chain assets, which you can access with your seed phrase through other compatible software.

These Terms are the entire agreement between you and us regarding the Services. If a provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not assign them without our consent. The English version controls if a translation differs. Sections that by their nature should survive termination (including 13–16) will survive.
