Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and GOLDIE CITY LLC("GoldPocket", "we", "us", or "our"), a limited liability company registered in Wyoming, United States. They govern your use of the GoldPocket wallet applications for iOS and Android, browser extension, bot integrations, websites, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What GoldPocket Is (and Is Not)

GoldPocket is a non-custodial, aggregation-based software wallet. It is an interface that helps you create and manage self-custodied wallet addresses, view public blockchain data, sign transactions, and access third-party protocols and decentralized applications from one place.

• We never hold your assets. Your private keys and seed phrase are generated and stored on your device. We cannot access, freeze, or transfer your funds.
• We do not provide fiat on-ramp or off-ramp services. GoldPocket does not support purchasing digital assets with fiat currency or converting digital assets into fiat currency. We are not a money transmitter, money services business, bank, exchange, broker, or payment processor.
• We are not a counterparty. When you swap, stake, or otherwise interact with third-party protocols through the Services, you transact directly with those protocols on-chain. We aggregate and display third-party services for your convenience but are not a party to those transactions.
• We do not provide financial, investment, legal, or tax advice.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into these Terms. You may not use the Services if you are located in, or are a resident of, any jurisdiction where use of the Services is prohibited, or if you are subject to sanctions administered by the United States or other applicable authorities.

3. Your Wallet and Your Responsibility

• You are solely responsible for safeguarding your seed phrase, private keys, passwords, and devices. If you lose your seed phrase, we cannot recover it and your assets may be permanently inaccessible.
• If your seed phrase or private keys are exposed — through phishing, malware, or any other means — anyone who obtains them can take your assets, and the loss is permanent and irreversible. Neither GoldPocket nor anyone else can reverse blockchain transactions, recover stolen assets, or compensate such losses.
• Never share your seed phrase with anyone. GoldPocket staff will never ask for it.
• You are solely responsible for all transactions signed with your keys. Blockchain transactions are irreversible; we cannot cancel, reverse, or refund them.
• You are responsible for evaluating every transaction before you sign it, including transactions suggested or explained by the AI agent.

4. AI Agent

The Services include an AI assistant that can explain transactions, summarize activity, flag potential risks, and help you navigate the Services. The AI agent is provided for informational purposes only. Its output may be inaccurate or incomplete, is not a substitute for your own judgment, and is not financial advice. You remain solely responsible for every transaction you approve.

5. Social Features

The Services include social features that let you create a profile, connect with other users, and share content. You agree that you will not use social features to:

• Impersonate any person or entity, or misrepresent your affiliation
• Post content that is illegal, fraudulent, harassing, hateful, or infringing
• Promote scams, phishing, market manipulation, or deceptive schemes
• Distribute malware or attempt to compromise other users' wallets

You retain ownership of content you post, and you grant us a non-exclusive, worldwide, royalty-free license to host and display it as needed to operate the Services. We may remove content or restrict accounts that violate these Terms.

6. Third-Party Services and Aggregation

The Services surface third-party protocols, decentralized applications, RPC providers, swap routes, bridges, and other services ("Third-Party Services"). Third-Party Services are governed by their own terms and are used at your own risk. We do not endorse, control, or assume responsibility for any Third-Party Service, including their availability, security, fees, or performance. The inclusion of a Third-Party Service in the interface is not a recommendation.

7. Fees

• Network fees. Blockchain networks charge transaction (gas) fees, which are paid to network validators, not to us.
• Third-party fees. Third-Party Services may charge their own fees, which are disclosed by those services.
• Service fees. If we charge a fee for any feature (for example, a spread or convenience fee on aggregated swaps), it will be disclosed in the interface before you confirm the transaction.

8. Prohibited Uses

You agree not to use the Services to:

• Violate any applicable law or regulation, including sanctions and export controls
• Engage in money laundering, terrorist financing, fraud, or other financial crimes
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services
• Reverse engineer or misuse the Services except as permitted by law
• Use automated means to abuse, overload, or scrape the Services

9. Intellectual Property

The Services, including software, design, text, graphics, and logos, are owned by GOLDIE CITY LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. Portions of the Services may be offered under open-source licenses, which control to the extent they conflict with these Terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

DIGITAL ASSETS ARE VOLATILE AND RISKY. YOU MAY LOSE THE ENTIRE VALUE OF YOUR ASSETS. YOU ASSUME ALL RISKS ASSOCIATED WITH USING BLOCKCHAIN NETWORKS AND THIRD-PARTY SERVICES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDIE CITY LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless GOLDIE CITY LLC from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration on an individual basis, except that either party may bring claims in small claims court. You waive any right to participate in class actions or jury trials to the extent permitted by law.

14. Changes and Termination

We may modify these Terms, or suspend or discontinue any part of the Services, at any time. Material changes will be posted with an updated "Last updated" date. Your continued use after changes take effect constitutes acceptance. Because GoldPocket is non-custodial, terminating your use of the Services does not affect your on-chain assets, which you can always access with your seed phrase through other compatible software.
